Acted as legal counsel to a technology start-up in connection with its incorporation under the Companies and Allied Matters Act 2020 (CAMA 2020). Advised on the optimal corporate structure, prepared and filed all incorporation documents with the Corporate Affairs Commission (CAC), and designed a bespoke post-incorporation compliance framework covering statutory filings, register obligations, directors’ duties, and data protection requirements under the NDPA 2023.
Advised and acted for a party to a joint venture arrangement in the agricultural sector. Drafted the Joint Venture Agreement (JVA) governing the parties’ respective capital contributions, profit-sharing ratios, management structure, intellectual property rights, exit provisions, and dispute resolution mechanism. Negotiated key commercial terms on behalf of the client, ensuring adequate protection of the client’s interests and enforceability under Nigerian law.
Acted for members of a cooperative society in the recovery of funds misapplied or withheld by appointed fund managers. Advised on the legal obligations of fund managers under the Investments and Securities Act and cooperative regulations, issued pre-litigation demand notices, and managed the recovery process through correspondence and negotiation, achieving resolution without resort to protracted court proceedings.
Provided comprehensive legal advisory to a real estate management company on property management regulations, landlord and tenant obligations, and compliance with the Lagos State Tenancy Law. Drafted and reviewed a suite of property-related agreements including tenancy agreements, property management agreements, Deeds of Lease, service charge provisions, and vendor contracts. Advised the client on title verification and regulatory risk mitigation across its managed portfolio.
Advised a digital financial services operator on its AML/CFT obligations under the Money Laundering (Prevention and Prohibition) Act 2022 and CBN circulars. Conducted a regulatory gap analysis, reviewed internal compliance policies, and prepared a remediation roadmap aligned with NFIU reporting requirements and the Financial Action Task Force (FATF) recommendations applicable to Nigerian VASPs and payment service providers.
Acted for a landlord in the recovery of a commercial premises and outstanding rent arrears from a defaulting tenant. Drafted and served statutory Notice to Quit and Recovery of Premises Notice in compliance with the Lagos State Tenancy Law 2011. Prepared originating process and supporting court documents for filing before the Magistrates Court, and advised the client on available options for enforcement of any judgment obtained.
